There is no law that commands all companies to adhere to internal audits, but it is a good practice for many. With the introduction of the Corporation Tax in the UAE, effective 2023, it has become necessary to comply with stricter policies to avoid fines, invent allowance reduction from the Small Business Relief system, and also to enhance trust of banks and other investors. It will be even more important to have a proper audit if the business entities generate revenue in excesss of AED 375,000 for which the tax rate is 9%.
As a norm, no less than 5 working days, a standard audit takes about 5-10 working days. This time is dependent on the size and complexity of the business in question. For example, businesses with revenue under AED 5M, also known as small businesses, require 5-7 days. For medium enterprises, businesses that fall between a revenue of AED 5M up to AED 20M will request 7 to 10 days. For the large enterprises minimum time required is 2-3 weeks. In case of emergencies, we provide such audits in an expedited manner within 48-72 hours.
External (statutory) audits are required by law for compliance and regulatory purposes – they’re conducted by independent external auditors. Internal audits focus on improving your operations, risk management, and internal controls. In regard to such entities whose calendar falls between January and December, the Corporate Tax return of the financial year 2024 must be submitted by 30th September of 2025. Yes! Ministerial Decision No. 84 of 2025 requires ALL Qualifying Free Zone Persons (QFZP) to submit audited financial statements to maintain their 0% Corporate Tax rate. Even if you’re exempt from tax, you still need audits to prove adequate economic substance. Most Free Zones (DIFC, DMCC, JAFZA) now require audited financials for license renewal regardless of revenue.
Transfer Pricing (TP) ensures that transactions between related companies are priced at “arm’s length” – as if they were independent parties. You need TP documentation if you have transactions with related parties, sister companies, or overseas parent/subsidiaries. UAE requires Master File and Local File for groups with consolidated revenue over AED 3.15 billion, or local revenue over AED 200 million.
